بودلال أحمدتحت إشراف أ. بن عودة صليحة2025-09-092020-12-02M562https://dspace.cu-maghnia.dz/handle/123456789/3215الملخص : يباشر المسير في الشركة التجارية العديد من الأعمال التي تمس بمصلحة الشركة والشركاء والغير، سواءا بالسلب أو بالإيجاب، وهو ما يؤدي إلى خطورة كبيرة قد تتسبب في عرقلة سير الشركة وربما انهيارها تماما ، مما يجعل المسير مسؤولا مدنيا نتيجة خطئه أو تقصيره. وبالنظر لأحكام المسؤولية المدنية لمسير الشركات التجارية ، فقد نص المشرع الجزائري على المسؤوليات المترتبة في حال تجاوز مسير الشركة التجارية لسلطات التسيير المتاحة له قانونا ضمن إطار القوانين والأنظمة وذلك من نواحي عدة سواءا من حيث طبيعة هذه المسؤولية أو من حيث الآثار المترتبة عنها والمتمثلة في التعويض كجزاء، باعتبار المسير يعد الممثل القانوني للشركة ، وهو ما يستدعي حرص المسيرين على المحافظة على حقوق الأطراف وذو المصالح المختلفة من أخطاء المسيرين.
