    الملخص لقد أقرّ المشرّع الجزائري جملة من الحقوق المالية التي يتمتّع بها المساهم في شركة المساهمة ولعلّ أهم وأبرز هذه الحقوق الحق التّفاضلي للإكتتابفقد خوّله المشرّع للمساهمين القدامى ومنحهم إيّاه وذلك حفاظا على حقوقهم في الشّركة و التي قد تتأثّر بدخول المساهمين الجدد إليها و مزاحمتهم في الناتج الذي تحققه هذه الأخيرة والذي ليس لهم يدً فيه،ويتجلى دور هذا الحق في الحالة التي تقوم بها الشّركة برفع رأسمالها فيسهل من هذه العملية ،كما أنّه يسمح لهم بالحفاظ على نفس نسبةرأس المال علاوة على أنه حق يثبت لكل مساهم في هذه الأخيرة عند زيادة رأسمالها ABSTRAIT Le législateur algérien a approuvé un certain nombre de droits financiers dont jouissent l’actionnaire de la société par actions et peut-être le plus important de ces droits est le droit différentiel de souscription, que le législateur a accordé aux anciens actionnaires et leur a accordé afin de préserver leurs droits dans la société, dont le rôle de ce droit peut être influencé par l’augmentation de son capital par la société, ce qui facilite la réalisation de ce processus, et il leur permet de maintenir le même pourcentage. Capital ainsi qu’un droit d’être prouvé à chaque actionnaire de ce dernier lors de l’augmentation de son capital.
