    حق التصويب في الجمعية العامة لشركة المساهمة في القانون الجزائري

    يعتبر حق التصويت من أهم الحقوق الأساسية التي يتمتع بها المساهم ولا يجوز حرمانه منه، ويتميز حق التصويت بأنه ذو طبيعة تعاقدية، بحيث يتمكن المساهم من تنظيم هذا الحق فيصبح حق التصويت محل العقد بعدما كان حقا تعاقديا وذلك في شكل اتفاقيات التصويت، غير أن هذه الاتفاقيات غير مباحة إلا تلك التي تضمن حماية مصلحة الشركة ومصلحة المساهم ، وتتعلق حماية حق التصويت بضمان ممارسة حق التصويت وضمان النتائج المتوصل إليها من هذا التصويت. Résumé: le droit de vote des droits les plus fondamentaux dont jouent l’actionnaire ne doit pas être privé, et se caractérise par le droit de vote comme une nature contractuelle , de sorte que l’actionnaire de l’organisation de ce droit devient le droit de vote remplacé le contrat après avoir été vraiment contrat sous la forme d’accord de vote, mais ces accords ils sont interdits , sauf ceux qui assurent la protection de l’intérêt de l’entreprise et l’intérêt de l’actionnaire , relatif à la protection du droit de vote pour assurer l’exercice de droit. Absract : The right to vote is one of the most fondamental rights enjoyed by the shareholder and may not be denied , the right to vote is of a contractual nature , so that the shareholder can organize this right to vote in the form of voting agreements. only those that guarantee the protection of the interets of the company and the contributor are protected. The protection of voting rights concerns the exercise of the right to vote and to ensure the results obtained from such voting.
