ملخص: يدخل ضمن مفهوم تأسيس شركة المساهمة مجموع الأعمال القانونية والمادية التي تتألف فيما بينها لإيجاد الهيكل القانوني طبقا لما رسمه المشرع من قواعد وإجراءات يتولى القيام بها ما يطلق عليهم بمؤسسي الشركة ويكون هذا التأسيس إما عن طريق اللجوء إلى الجمهور للاكتتاب في رأس المال أي التأسيس المتتابع، أو يكون عن طريق المؤسسين فقط وهو ما يطلق عليه اسم التأسيس الفوري، ومخالفة هاته الإجراءات فيه مساس بقواعد قانونية آمرة ما ينجر عنه جزاءات، الغاية منها حماية الحقوق
