أحكام مؤسسة الشخص الوحيد ذات المسؤولية المحدودة في القانون التجاري الجزائري

Abstract

الملخص قد جاء هذه الدراسة من أجل معرفة أهم ما يميز المؤسسة ذات الشخص الوحيد التي تعتبر وليدة من الشركة ذات المسؤولية المحدودة وجزء لا يتجزأ منها فهي أيضا مثلها مثل الشركات التجارية خضت بأركان لا بد من وجودها من أجل تأسيسها رغم انتفاء بعض منها مثل تعدد الشركاء واختلافها في الآخر لكن هذا لا يعني أننا نهمشها لأنها صدت العديد من المشاكل ضمن المجتمع فهي شركة مستقلة بحد ذاتها تؤسس بطريقة مباشرة أو غير مباشرة وبالتالي ساهمت ببقاء العديد من الشركات لذا أصبحت ضرورية من إدراجها وخصها بأحكام كافية ضمن القانون التجاري لأنها امثل حل من اجل استقطاب رؤوس الأموال.

Résume : Cette étude est venue dans le but de connaître la caractéristique la plus importante de l'entreprise unipersonnelle qui est considérée comme un produit de la société à responsabilité limitée et une partie intégrante de celle-ci. L'autre, mais cela ne signifie pas que nous la marginalisons car elle rebutait beaucoup Il s'agit d'une société indépendante en soi qui s'est constituée directement ou indirectement, et a ainsi contribué à la survie de nombreuses entreprises, il est donc devenu nécessaire de les inclure et de les singulariser avec des dispositions suffisantes dans le droit commercial car il est la meilleure solution pour attirer des capitaux.

Abstract: This study came in order to know the most important characteristic of the one-person enterprise that is considered a product of the limited liability company and an integral part of it. The other, but this does not mean that we marginalize it because it repelled many problems within the community. It is an independent company in itself that is established directly or indirectly, and thus contributed to the survival of many companies, so it became necessary to include them and single them out with sufficient provisions within the commercial law because it is the best solution for attracting capital.
