النظام القانوني لإندماج الشركات

Abstract

الملّخص: تهدف هذه الدراسة للنظام القانوني لاِندماج الشركات التجارية، إلى إبراز هذه العملية التي تعتبر من أهم مظاهر التركيز الاقتصادي في الحياة القانونية، وهذا من خلال توضيح ما المقصود بهذه العملية، وما موقف المشرع الجزائري منها، وكذلك خصائصها وأنواعها وتمييزها عن غيرها من الأنظمة المشابهة لها، وكذا الآثار القانونية التي ترتبها عملية الاِندماج سواء بالنسبة للشركات والشركاء، وكذلك بالنسبة للغير. Résumé: Cette étude a systéme juridique vise a intégrer les entreprisse commerciales, en démontrant que ce processus est l'un des aspects du focus économique les plus important dans la vie juridique. Et cela se représente par clarifier ce que l'on entend par ce processus et la position du législateur algérien envers ce systéme. Ainsi ses caractéristique ses types et sa distinction par rapport aux autres organisatuons similaires, ainsi que les implications légales du processus d'intégration que se soit pour les entreprise, les partenaires ou pour l'autre. Abstract: This study of the legal system of the integration in commercial companies aims to highlights this process that is considered one of the most important aspects of economic focus in the legal, and this is by clarifying what is meant by his process and what is the position of the Algerian legislator from it, and also its characteristics and its types and distinguish it from other similar systems and the legal effects which are the results of merger process both for companies and partners and who for others.
