أحكام العقود التأسيسية للشركات التجارية في القانون الجزائري

Abstract

الملخص: يعد العقد التأسيسي الركيزة الأساسية في قيام الشركات التجارية ، إذ يمنحها وجودا قانونيا مستقلا يجسد إرادة الشركاء في إنشاء كيان جماعي منظم . ويتطلب هذا العقد توافر جملة من الأركان القانونية ، بدءا بالأركان الموضوعية العامة كالرضا والمحل والسبب ثم الأركان الخاصة التي تميز عقد الشركة. كما اشترط القانون اركانا شكلية أساسية كضرورة الكتابة الرسمية والقيد والاشهار باعتبارها شروط لازمة لاكتساب الشخصية المعنوية . كما يتبين أن احترام البيانات التي يتضمنها هذا العقد وصياغتها بدقة وفقا لمتطلبات القانون يعد ضروريا لصحة التأسيس واستمرار الشركة في إطار قانوني سليم. The memorandum of association constitutes the fundamental cornerstone in the establishment of commercial companies, as it grants them an independent legal existence that reflects the will of the partners to create an organized collective entity. This contract requires the fulfillment of several legal elements, starting with the general substantive elements such as consent, subject matter, and cause, followed by the specific elements that distinguish a company contract. Furthermore, the law mandates essential formal requirements, such as official written form, registration, and publication, as prerequisites for acquiring legal personality. It is also evident that compliance with the information stipulated in the memorandum and drafting it precisely in accordance with legal requirements is essential for the validity of incorporation and the lawful continuity of the company.
