النمط الحديث في إدارة شركة المساهمة

Abstract

الملخص: تعالج هذه الرسالة النمط الحديث في إدارة شركة المساهمة ذات مجلس المديرين ومجلس المراقبة، والتي تفصل بين سلطة الإدارة وسلطة الرقابة، حيث يتولى مجلس المديرين التصرف في أعمال تسيير شؤون الشركة، بينما يتولى مجلس المراقبة الرقابة على أعمال مجلس المديرين الذي جاء به المرسوم التشريعي 93-08.

Résumé : Cette étude aborde la nouvelle approche de gestion des sociétés par actions (SA) a directoire et consiel de surveillance qui sépare clairement l’autorité d’administration de celle de surveillance. Le directoire est chargé des opérations de gérance est chargé du control permanant des taches et travaux accomplis par le directoire ainsi que définis par les disposition du décret législatif 93-08.

Abstract : This study concerns the new management approach of joint-stock companies with a management board and supervisory board that clearly separates the administrative authority from the supervisory one. The Executive Board is responsible of managing the company’s affaires while the supervisory Board is in charge of the permanent control of the tasks performed by the executive Board as defined by the provision of legislative Decree 93-08.
