النظام القانوني لشركة المساهمة البسيطة

Abstract

تعد شركة المساهمة البسيطة حديثة النشأة ،حيث أدرجها المشرع الجزائري في القانون التجاري الجزائري و ذلك بموجب القانون 22-09،وتتمتع هذه الشركة بعدة خصائص و من أهم خصائصها عدم إشتراط الحد الأدنى للشركاء و رأس مال ، أما من حيث شروط و إجراءات تأسيس فهي تخضع للأحكام العامة مثلها مثل الشركات التجارية الأخرى . أما عن رئيس شركة المساهمة البسيطة فيعين في القانون الأساسي و يقوم بصلاحيات مجلس الإدارة ، بينما القرارات الجمعية العامة العادية و الغير العادية يجب أنتتخد جماعيا من طرف المساهمين وفقا لكيفيات المحددة في القانون الأساسي . الغاية من إنشاء هذه الشركة تنشيط الاقتصاد الوطني و تشجيع الإبتكارات الجديدة . Abstract ; The simple joint-stock company is a newly created legal entity introduced into the Algerian Commercial Code by law No. 22_09. This type of company has several distinguishing features, the most important of which is that it does not require a minimum n<umber of shareholders or minimum capital. However, it remains subject to the general provisions applicable to commercial companies with regardto the procedures andformalitiesfor its incorporation. The chaiman of the simple joint stock company is appointed in the company’s articles of association and assumes the power typically exercised by a board of directors .Descisions of both ordinary and extraordinary general meetings must be taken collectively by the shareholders , in accordance with the procedures set out in the Articles of Association . The main objective behind the creation of this type of company is to stimulate the national economy and promote invation and entrepreneurship .
