Abstract

الملخص: تناولت هذه الدراسة التزام الشركات المقيدة ببورصة القيم المنقولة بمبادئ الحوكمة، من خلال تحليل معمّق للإطارين القانوني والتنظيمي المنظّمين لعمل هذه الشركات، وبيان مدى انسجامهما مع التوصيات الدولية الصادرة عن منظمة التعاون الاقتصادي والتنمية، وميثاق الحكم الراشد للمؤسسات في الجزائر.تهدف الدراسة إلى التعرف على مدى تكريس التشريع الجزائري لمبادئ الإفصاح والشفافية، واستقلالية الهيئات الإدارية، وحماية حقوق المساهمين وأصحاب المصالح الأخرى ، وذلك في سياق السعي نحو تعزيز الثقة في السوق المالية باعتبارها أداة محورية لجذب الاستثمار وترسيخ نظام حوكمة فعّال داخل الشركات المقيدة.وقد تضمنت الدراسة قراءة نقدية لأوجه القصور ونقاط القوة، مرفقة بجملة من التوصيات الهادفة إلى تدعيم آليات الحوكمة في بورصة الجزائر.وتُختتم الأطروحة بخلاصة تؤكد أنّ فاعلية السوق المالية لا يمكن أن تتحقق إلا من خلال ترسيخ مبادئ الحوكمة داخل الشركات المدرجة، ضمن رؤية تشريعية ومؤسساتية متكاملة.

Abstract: This study addresses the commitment of companies listed on the stock exchange to the principles of corporate governance by conducting an in-depth analysis of the legal and regulatory frameworks governing the operations of these companies, and assessing the extent to which they align with international recommendations issued by the Organisation for Economic Co-operation and Development (OECD) and the Charter of Good Governance for Institutions in Algeria. The study aims to examine the extent to which Algerian legislation enshrines the principles of disclosure and transparency, the independence of administrative bodies, and the protection of shareholders' rights as well as those of other stakeholders. This is explored within the broader context of efforts to strengthen trust in the financial market, which serves as a key mechanism for attracting investment and establishing an effective governance system within listed companies. The research presents a critical reading of both the strengths and shortcomings of the current framework and offers a set of recommendations aimed at enhancing governance mechanisms within the Algerian stock exchange. The dissertation concludes with the assertion that the efficiency of the financial market can only be achieved through the consolidation of governance principles within listed companies, in line with a comprehensive legislative and institutional vision.

Résumé: La présente étude porte sur l’engagement des sociétés cotées en Bourse des valeurs mobilières à l’égard des principes de gouvernance, à travers une analyse approfondie des cadres juridique et réglementaire encadrant leur fonctionnement, et une évaluation de leur conformité aux recommandations internationales émises par l’Organisation de coopération et de développement économiques (OCDE) ainsi qu’à la Charte de la bonne gouvernance des institutions en Algérie. L’objectif de l’étude est d’examiner dans quelle mesure la législation algérienne consacre les principes de divulgation et de transparence, l’indépendance des organes de gestion, ainsi que la protection des droits des actionnaires et des autres parties prenantes. Cette analyse s’inscrit dans une perspective visant à renforcer la confiance dans le marché financier, considéré comme un levier essentiel pour attirer les investissements et instaurer un système de gouvernance efficace au sein des sociétés cotées. L’étude propose une lecture critique des forces et des lacunes du cadre actuel, accompagnée d’un ensemble de recommandations visant à renforcer les mécanismes de gouvernance au sein de la Bourse d’Alger. La thèse se conclut par l’affirmation que l’efficacité du marché financier ne peut être atteinte que par l’ancrage des principes de gouvernance dans les entreprises cotées, dans le cadre d’une vision législative et institutionnelle cohérente et intégrée.
