Abstract

ملخص الشريك هو ذلك الشخص الذي تتوافر فيه ثلاث شروط، تتعلق بنية الاشتراك وتقديم الحصص والمساهمة في الإرباح و الخسائر، و على إثر هذه الصفة تبت له جملة من الحقوق والتي تقابلها جملة من الالتزامات. غير أن هذا الشريك يمكن أن يفقد هذه الصفة سواء بإرادته أو دون ذلك، مما يرتب عليه مجموعة من الآثار سواء تعلق الأمر بالشركة في حد ذاتها أو بالشركاء الباقين و الغير أو بالشريك المغادر.

Résumé Un associé est une personne qui remplit trois conditions, liées à l’intention de participation, à la fourniture d’actions et à la contribution aux profits et pertes, et en raison de cette qualité, un certain nombre de droits sont déterminés pour elle, ce qui correspond à un certain nombre d’obligations. Toutefois, ce partenaire peut perdre cette capacité, volontairement ou non, ce qui a une série d’effets, qu’il s’agisse de la société elle-même, des associés restants et des tiers ou de l’associé sortant.
